Wyoming Corporation Maintenance

Wyoming corporations are some of the simplest corporations in the US to maintain, however, to keep your corporation in good standing with the state and help ensure your limited liability holds up in court, you’ll need to do the following each year:

  • File Annual Report
    The Wyoming Secretary of State requires that each corporation in Wyoming files an annual report. These reports are a way for the state to generate income while verifying which corporations registered in Wyoming are still active. Annual reports are a verification of contact information and can be completed in a few minutes. The reports are due on the first day of your corporation’s filing anniversary month (if you incorporated in Wyoming on Feb. 15th, your annual report would be due on Feb. 1 the following year). Wyoming annual reports cost $50 and can be filed online. Wyoming corporations must list the name and address of at least one officer or director. Warning: If your annual report is not filed within 60 days of its deadline, your LLC may be administratively dissolved by the Wyoming Secretary of State.
  • Annual Directors Meeting
    Corporations in Wyoming must be maintained by holding annual meetings (unless you elect to form a Close Corporation) called shareholders meetings and directors meetings (in most small corporations, the shareholders are directors).
  • Taxes
    Wyoming has no corporate income tax. That means the only tax you’ll be paying to the state as a corporation is sales tax.
